Main Responsibilities
Legal Strategy & Advisory Leadership
- Provide strategic legal advice to Management and business units on corporate, commercial, and operational matters.
- Develop and implement legal strategies aligned with the Company’s business objectives and risk appetite.
- Interpret legal implications of business decisions, contracts, and regulatory requirements to support sound decision-making.
Contract Management & Commercial Legal Support
- Oversee drafting, review, and negotiation of contracts, agreements, and legal instruments across all business activities.
- Provide legal support in commercial negotiations to ensure optimal contractual and financial outcomes.
- Ensure all contracts adequately protect the Company’s interests while remaining commercially practical.
Legal Risk Management & Dispute Resolution
- Identify legal risks across business operations and develop mitigation strategies.
- Manage disputes, claims, and litigation matters, including coordination with external legal counsel.
- Provide guidance on risk exposure, liabilities, and legal implications of business activities.
Compliance & Regulatory Oversight
- Develop and implement the Company’s compliance framework, policies, and procedures.
- Ensure adherence to all applicable laws, regulatory requirements, and internal governance standards.
- Monitor regulatory developments and advise Management on potential business impact.
Corporate Governance & Ethics
- Oversee implementation and enforcement of the Company’s Code of Conduct and Ethics.
- Ensure governance frameworks and internal policies are consistently applied across the organisation.
- Support governance processes including policy development, compliance monitoring, and audit readiness.
Compliance Monitoring, Investigations & Audit Support
- Establish compliance monitoring programmes including periodic reviews and assessments.
- Oversee investigations into compliance breaches, misconduct, or ethical concerns.
- Ensure proper documentation, reporting, and closure of compliance cases.
Corporate Communication Oversight
- Provide strategic oversight of corporate communication to ensure alignment with Company values, governance standards, and messaging consistency.
- Review and guide key corporate communications, announcements, and internal messaging.
- Support Management in handling sensitive communications, including reputational or crisis-related matters.
Stakeholder & Cross-Functional Collaboration
- Work closely with SCM, Human Capital, Risk, Finance, and Operations to provide integrated legal and compliance support.
- Provide advisory on contracts, governance, and compliance requirements across business units.
Position Requirements
- Bachelor’s Degree in Law (LLB) from a recognised institution
- Admission to the Bar or equivalent professional legal qualification is required
- Master’s Degree in Law (LLM) is advantageous
- Bar qualification is mandatory.
- Certifications in Compliance, Risk Management, or Corporate Governance are advantageous
- Minimum 15 years of legal and/or compliance experience, either in private practice or as in-house counsel
- At least 7 years in a leadership or managerial capacity
- Experience in Oil & Gas, energy, or regulated industries is highly advantageous
- Corporate and commercial law expertise
- Contract drafting, negotiation, and advisory
- Compliance framework development and governance
- Strong leadership and decision-making capability
- High integrity and ethical judgement
- Strong stakeholder management and influencing skills
General Requirements
- Strong personal drive, leadership skills, technical acumen and able to manage wide variety of activities and projects;
- Strong sense of responsibility and accountability with positive working attitude;
- Must be well organized, work independently & have the ability to multi-task, lead and work in teams;
- Must be able to work well under pressure to meet strict deadlines;
- Good command of spoken and written Malay and English languages.
